Terms of Service

Last updated: January 1, 2026

These Terms of Service ("Terms") govern access to and use of the ConnectFi platform, the website at connectfi.com (the "Site"), and related software, tools, and services (together, the "Service"). The Service is provided by Fintech One Inc. ("Company," "we," "us," or "our").

1. Acceptance of Terms

1.1 By accessing or using the Service or the Site, or by clicking to accept these Terms, you agree to be bound by them. If you do not agree, do not use the Service.

1.2 If you accept these Terms on behalf of a bank, credit union, company, or other legal entity, you represent that you have authority to bind that entity and its affiliates. In that case, "you" and "your" refer to that entity.

1.3 If you or your organization has signed a separate written agreement with us or with an authorized Partner (an "Order" or "Master Agreement"), that agreement controls where it conflicts with these Terms. These Terms apply to everything the separate agreement does not address.

1.4 The Service is intended for business use only. It is not offered to consumers or to anyone under 18.

2. Definitions

  • Customer means the financial institution or business that has an account for the Service. Customer may also be called "you."
  • Authorized User means an individual employee or contractor of Customer whom Customer permits to access the Service.
  • Customer Data means all information, documents, and materials that Customer or its Authorized Users or borrowers submit to or generate through the Service, including any nonpublic personal information.
  • Partner means a bank association, credit union league, CUSO, technology company, or other organization that is authorized by us to distribute or brand the Service under its own name.
  • Documentation means the product guides and help materials we make available for the Service.

3. The Service

3.1 The Service includes (a) the Site, (b) the hosted software and tools we provide through the Site, (c) configuration, setup, integration, and training services if you purchase them, and (d) the Documentation and all related content.

3.2 Partner-branded deployments. The Service may be offered under a Partner's brand. If you access the Service through a Partner, these Terms still apply to your use of the Service. Your commercial terms, support channel, and billing may come from the Partner. We remain responsible for operating the Service.

3.3 We may add, change, or retire features over time. If we make a change that materially reduces core functionality you have paid for, we will give you at least 60 days' notice by email, except where the change is needed for security, legal, or compliance reasons.

3.4 Any new feature that augments the Service is covered by these Terms.

4. Accounts and Access

4.1 You may use the Service only for your internal business purposes and only as permitted by these Terms and any Order.

4.2 Each login is for one person. Credentials may not be shared. You are responsible for keeping credentials confidential and for all activity under your accounts.

4.3 You must provide accurate account information and keep it current. You must use multi-factor authentication where we make it available or require it.

4.4 Notify us promptly at contact@connectfi.com if you suspect unauthorized access to your account.

4.5 We may access your account only as needed to provide support, maintain the Service, ensure security, or comply with law, and we will limit that access to what is reasonably necessary.

5. Acceptable Use

You will not, and will not allow anyone else to:

  • (a) license, sublicense, sell, resell, rent, lease, transfer, distribute, or otherwise commercially exploit the Service, or make it available to any third party, except as these Terms expressly allow;
  • (b) copy, modify, reverse engineer, decompile, or create derivative works of the Service, except to the extent applicable law prohibits this restriction;
  • (c) use the Service to process data on behalf of an entity that is not Customer;
  • (d) use the Service in violation of applicable law, including lending, privacy, consumer protection, anti-discrimination, and anti-money-laundering laws;
  • (e) upload malware or attempt to probe, scan, or test the vulnerability of the Service without our written permission;
  • (f) interfere with or disrupt the integrity or performance of the Service;
  • (g) send bulk unsolicited messages through the Service;
  • (h) use the Service to build a competing product or to benchmark it for public release without our written consent; or
  • (i) imply sponsorship or affiliation with us, or attempt to gain unauthorized access to the Service or its related systems or networks.

6. Customer Data

6.1 Ownership. As between you and us, you own your Customer Data. You grant us a limited, non-exclusive license to host, process, transmit, and display Customer Data solely to provide, secure, support, and improve the Service for you, and as otherwise permitted by these Terms.

6.2 Your responsibilities. You are responsible for the accuracy and legality of Customer Data, for having all rights and consents (including borrower notices and authorizations) needed to submit it, and for how your Authorized Users use the Service. You will not submit data that the Service is not designed to handle, and you will tell us before submitting any special categories of data that we have not agreed to handle.

6.3 Financial institution data. We understand that Customer Data may include nonpublic personal information subject to the Gramm-Leach-Bliley Act and related regulations and guidance. For that data, we act as a service provider to Customer. We will use and disclose it only to provide the Service to Customer and as permitted by law and these Terms. We will not sell Customer Data.

6.4 Security. We maintain administrative, technical, and physical safeguards designed to protect Customer Data against unauthorized access, use, or disclosure. These include encryption of Customer Data in transit and at rest, role-based access controls, logging, and regular vulnerability management. No system is perfectly secure, and we do not guarantee that unauthorized access will never occur.

6.5 Incident notice. If we confirm unauthorized access to Customer Data in our systems, we will notify Customer without undue delay and, where required by law or contract, within the legally required time. We will provide information reasonably needed for Customer to meet its own notification and regulatory obligations.

6.6 Subprocessors and hosting. We use third-party vendors and hosting providers to operate the Service. We require them to protect Customer Data under written terms consistent with these Terms. We will provide a current list of material subprocessors on request and will give notice of material changes to that list.

6.7 Regulatory and due diligence support. We will reasonably cooperate with Customer's third-party risk management program and with regulator requests related to the Service, including providing available security documentation. Additional assistance may be subject to fees specified in an Order.

6.8 Return and deletion. For 30 days after termination or cancellation, you may request an export of your Customer Data in a commonly used format. After that period, we will delete Customer Data from active systems within a reasonable time, and from backups according to our standard retention cycle, unless we are required by law to keep it. Deletion cannot be undone.

6.9 Aggregated data. We may create and use de-identified, aggregated usage and performance data that does not identify you, your Authorized Users, or any borrower, to operate and improve the Service.

7. AI-Assisted Features

7.1 Some features of the Service may use machine learning or other automated tools, for example to extract data from documents, flag missing items, or draft summaries ("AI Features").

7.2 AI Features may produce errors or incomplete results. Customer is responsible for reviewing outputs before relying on them. The Service supports file preparation and organization. It does not make credit decisions, and Customer remains solely responsible for all underwriting, lending, compliance, and adverse action decisions.

7.3 We will not use Customer Data to train or improve generalized AI models that are made available to other customers, unless you agree to it in writing.

8. Confidentiality

8.1 Each party may receive non-public information from the other that is marked confidential or that a reasonable person would understand to be confidential ("Confidential Information"). Customer Data is Customer's Confidential Information.

8.2 The receiving party will use Confidential Information only to perform under these Terms, will protect it with at least reasonable care, and will disclose it only to personnel and advisors who need to know it and are bound by similar duties.

8.3 These obligations do not apply to information that is or becomes public through no fault of the receiving party, was already known or independently developed without use of the Confidential Information, or was rightfully received from a third party. A party may disclose Confidential Information if required by law, regulation, or regulator request, after giving notice where legally permitted.

9. Intellectual Property and Trademarks

9.1 As between you and us, we and our licensors own all rights, title, and interest in the Service, the Documentation, and all related intellectual property. You receive only the limited right to use the Service expressly granted in these Terms. We reserve all other rights.

9.2 Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, non-sublicensable license during the term to access and use the Service, and to download, view, copy, and print the Content, solely for your internal business purposes.

9.3 If you give us feedback or suggestions about the Service, you grant us a perpetual, worldwide, royalty-free license to use them without obligation to you.

9.4 "ConnectFi," "Fintech One," and our logos are our trademarks. You may use them only to identify yourself as a customer or user of the Service, and you may not claim ownership of them or incorporate them into your own names or offerings. Partners may use their own branding according to their agreements with us.

10. Fees and Payment

10.1 Fees are set out in your Order, your Partner agreement, or on the Site. Unless stated otherwise, paid plans are billed monthly in advance starting on the day the plan begins. Configuration, setup, integration, and training services are billed as stated in the applicable Order.

10.2 You authorize us (or our payment processor) to charge the payment method on file. We use a third-party payment processor, which is not permitted to retain or use your billing information except to process payments for us. You may update your payment details through the Service, and you will receive receipts by email and in the application.

10.3 Fees are non-cancellable and non-refundable except where these Terms or applicable law say otherwise. If you upgrade or downgrade, we will adjust charges pro rata for the remainder of the billing cycle. Downgrading may reduce features or capacity, and we are not responsible for resulting loss.

10.4 We may change prices on at least 30 days' written notice. Changes take effect at the next renewal or billing cycle after the notice period. If you do not accept a price change, you may cancel before it takes effect.

10.5 Fees do not include taxes. You are responsible for all sales, use, VAT, and similar taxes, other than taxes on our net income.

10.6 If a payment fails, we may suspend the Service after giving you notice and a reasonable chance to cure. Overdue amounts may accrue interest at the lesser of 1% per month or the maximum rate allowed by law, plus reasonable collection costs.

11. Term, Cancellation, and Suspension

11.1 These Terms begin when you first accept them and continue until your account is cancelled or terminated.

11.2 Cancellation by you. The account owner may cancel at any time by written notice to contact@connectfi.com, or through your Partner if you subscribed through one. Cancellation takes effect at the end of the current billing period unless your Order says otherwise, and you will not be billed again after that period ends.

11.3 Termination by us. We may suspend or terminate your access (a) if you materially breach these Terms and do not fix the breach within 30 days of notice, (b) immediately if your use poses a security risk or violates law or Section 5, or (c) if we discontinue the Service, in which case we will give at least 90 days' notice and refund prepaid fees for the period after discontinuation.

11.4 Notice before suspension. Where practical, we will contact you before suspending your account and will limit the scope and duration of any suspension to what is reasonably necessary.

11.5 Effect. On termination, your right to use the Service ends, and Section 6.8 applies to Customer Data. Provisions that by their nature should survive will survive, including Sections 6.8, 8, 9, 10 (as to unpaid amounts), 12 through 15, 17, and 18.

12. Disclaimer of Warranties

THE SERVICE, THE SITE, AND ALL CONTENT ARE PROVIDED "AS IS" AND "AS AVAILABLE." TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, TITLE, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, TIMELY, SECURE, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS, OR THAT AI FEATURES WILL BE ACCURATE OR COMPLETE. NO ADVICE OR INFORMATION FROM US CREATES A WARRANTY NOT EXPRESSLY STATED IN THESE TERMS. THE SERVICE DOES NOT PROVIDE LEGAL, REGULATORY, OR CREDIT ADVICE.

13. Indemnity

13.1 By you. You will defend and indemnify us and our officers, directors, employees, and agents against third-party claims and resulting damages, liabilities, and reasonable costs (including reasonable legal fees) arising from (a) Customer Data or your submission of it, (b) your use of the Service in violation of these Terms or applicable law, or (c) your lending or credit decisions.

13.2 By us. We will defend and indemnify you against third-party claims alleging that the Service, as we provide it, infringes a United States patent, copyright, or trademark, and will pay resulting damages and costs finally awarded or agreed in settlement. This does not apply to claims arising from Customer Data, from modifications not made by us, or from use in combination with products we did not provide. If a claim is made or likely, we may modify the Service, obtain a license, or terminate the affected part and refund prepaid fees for the unused period. This Section states our entire liability for infringement claims.

13.3 Process. The indemnified party must give prompt notice, allow the indemnifying party to control the defense and settlement (provided no settlement admits fault on behalf of the indemnified party without consent), and reasonably cooperate at the indemnifying party's expense.

14. Limitation of Liability

14.1 TO THE FULLEST EXTENT PERMITTED BY LAW, NEITHER PARTY WILL BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, LOST REVENUE, LOST BUSINESS, OR BUSINESS INTERRUPTION, EVEN IF ADVISED OF THE POSSIBILITY.

14.2 EACH PARTY'S TOTAL LIABILITY ARISING OUT OF OR RELATED TO THESE TERMS WILL NOT EXCEED THE FEES PAID OR PAYABLE BY YOU FOR THE SERVICE IN THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM.

14.3 The limits in Sections 14.1 and 14.2 do not apply to (a) a party's indemnification obligations under Section 13, (b) a party's breach of Section 8 (Confidentiality), (c) gross negligence, willful misconduct, or fraud, (d) your obligation to pay fees, or (e) any liability that cannot be limited by law.

14.4 These limits allocate risk between the parties, and each party has relied on them in deciding to enter these Terms. Some jurisdictions do not allow certain exclusions or limitations, so some of the above may not apply to you. In those cases, our liability is limited to the greatest extent permitted by law.

15. Third-Party Services

The Service may integrate with or link to third-party products, such as core banking systems, loan origination systems, e-signature tools, or cloud storage. We do not control third-party services and are not responsible for them. Your use of them is governed by their own terms. If you enable an integration, you authorize us to exchange Customer Data with that third party as needed for the integration to work.

16. Changes to These Terms

16.1 We may update these Terms from time to time. The current version is always available at https://connectfi.com/terms.

16.2 For material changes, we will give at least 30 days' notice by email to the account owner or by a prominent notice in the Service before the changes take effect. Non-material changes, such as clarifications or changes required by law, may take effect on posting.

16.3 If you do not accept a change, you may cancel your account before the change takes effect, and you will not be charged further for the period after cancellation. Continued use after the effective date means you accept the revised Terms.

17. Governing Law and Disputes

17.1 These Terms are governed by the laws of the State of Texas, without regard to conflict of law principles.

17.2 The parties agree to try in good faith to resolve any dispute informally for 30 days after written notice before starting formal proceedings.

17.3 Subject to Section 17.2, you and we submit to the exclusive jurisdiction of the state and federal courts located in Texas for any dispute arising out of or relating to these Terms or the Service. Either party may seek injunctive relief in any court of competent jurisdiction to protect its intellectual property or Confidential Information.

18. General Provisions

18.1 Assignment. You may not assign these Terms without our written consent, except to a successor to substantially all of your business that is not a competitor of ours. We may assign these Terms, including in connection with a merger, restructuring, reorganization, acquisition, or sale of assets. We will give notice of any assignment and, where the assignee is an affiliate or successor, the Service and your rights will continue under these Terms.

18.2 Entire agreement. These Terms, together with any Order or Master Agreement, are the entire agreement between you and us about the Service and replace all prior agreements and understandings on the same subject. This is a binding contract even though it is electronic and not physically signed.

18.3 Order of precedence. If there is a conflict, the order of priority is (a) the Order or Master Agreement, then (b) these Terms.

18.4 Waiver and severability. Our failure to enforce a right is not a waiver of it. If any provision is held unenforceable, the rest of these Terms remain in effect and the provision will be enforced to the maximum extent permitted.

18.5 Force majeure. Neither party is liable for delay or failure to perform caused by events beyond its reasonable control, including natural disaster, war, terrorism, labor disputes, government action, power or internet outages, or failures of third-party hosting or telecommunications providers. This does not excuse payment obligations.

18.6 Export and sanctions compliance. You are responsible for complying with all applicable export control, sanctions, and trade laws in connection with your use of the Service. You represent that you are not on any restricted party list and that you will not use the Service in a sanctioned country or for a prohibited end use.

18.7 Notices. We may give notice by email to the account owner, by notice within the Service, or by posting on the Site. You must send legal notices to contact@connectfi.com, with a copy to 1910 Pacific Ave, STE 2000, Dallas, TX 75201.

18.8 Relationship. The parties are independent contractors. These Terms do not create a partnership, joint venture, agency, or employment relationship. There are no third-party beneficiaries, except as stated for indemnified parties in Section 13.

18.9 Electronic communications. You consent to receive notices and records from us electronically.
